Un proyecto que arranca sin estructura definida funciona mientras todo va bien. El problema aparece cuando entra capital nuevo, cuando un socio quiere salir, o cuando alguien tiene que responder frente a un tercero: ahí se descubre que nunca se definió quién decide, quién aporta y qué pasa si alguien incumple.A venture that starts without a defined structure works while things go well. The problem shows up when new capital enters, when a partner wants out, or when someone must answer to a third party: that is when it emerges that no one defined who decides, who contributes and what happens on default.
Corregir eso después es caro y a veces imposible. Diseñar la estructura antes cuesta una fracción y elimina la ambigüedad que más adelante se convierte en litigio.Fixing that later is expensive and sometimes impossible. Designing the structure up front costs a fraction and removes the ambiguity that later turns into litigation.
